PROJECT TERMS & AGREEMENT
These terms outline the working relationship between illriginal Designs and the client for creative, design, development, and related digital services. By approving a proposal, invoice, or project kickoff, the client agrees to the terms below.
Scope of Work
illriginal Designs will provide the services described in the approved proposal, estimate, project outline, or written communication. Any request outside that defined scope may require a revised timeline, added fee, or separate agreement. Deliverables may include strategy, design direction, landing page design, website development, revisions, brand support assets, and launch preparation depending on the selected package.
Delivery
Project timelines begin once all required materials have been received, including brand assets, copy, access credentials, approvals, and any initial payment. Estimated timelines are targets, not guarantees, and may shift if feedback, content, or approvals are delayed. Final files, launch files, or handoff assets are released once all outstanding balances are paid in full.
Payment
A non-refundable deposit may be required to reserve project time and begin work. Unless otherwise stated in writing, remaining balances are due before final delivery, transfer, publication, or launch. Late payments may pause active work and delay delivery dates. The client is responsible for any third-party platform fees, subscriptions, domains, hosting, or software costs unless explicitly included.
Ownership
Upon full payment, the client receives rights to the final approved deliverables created specifically for the project, excluding any third-party assets, licensed materials, fonts, stock resources, or tools governed by their own terms. illriginal Designs retains the right to display completed work in portfolios, case studies, social content, marketing materials, and presentations unless otherwise agreed in writing.
Revisions
Revision rounds are limited to the number stated in the approved package or proposal. A revision means a reasonable adjustment to an existing direction, not a complete rebuild, brand reset, or new concept. Requests beyond the included revision scope may be billed separately. Consolidated feedback is preferred and may be required to keep the project moving efficiently.
Communication
Clear and timely communication is essential to maintaining the project timeline. The client agrees to provide feedback, approvals, assets, and requested information within a reasonable timeframe. If a project remains inactive for an extended period due to client delay, illriginal Designs may reschedule the work based on current availability and may require a restart fee depending on the length of inactivity.
Limitation of Liability
illriginal Designs will not be liable for indirect, incidental, special, or consequential damages arising from the use of deliverables, platform issues, third-party services, hosting failures, browser changes, plugin conflicts, or lost business opportunities. The client is responsible for reviewing and approving final materials before launch or publication.
Governing Law
These terms will be governed by and interpreted in accordance with the laws of the jurisdiction in which illriginal Designs principally operates, unless a separate written agreement states otherwise. If any provision is held unenforceable, the remaining provisions will continue in full force and effect.
REVISION POLICY
Revision requests must stay within the approved creative direction and project scope. Multiple rounds of scattered feedback, major redesign requests after approval, or changes caused by newly introduced requirements may be treated as additional work. illriginal Designs may recommend a scope adjustment when the requested edits materially alter the original brief.
REFUND POLICY
Deposits and payments made for time already reserved, strategy already delivered, or work already completed are non-refundable. If a project is canceled by the client after work begins, the client remains responsible for payment covering completed work, active production time, and any committed expenses. If illriginal Designs is unable to complete the agreed work for reasons within its control, a fair partial refund may be issued for any unfinished portion at its discretion.
